Terms of Agreement : Synforest Download Video Works License Agreement (The English translation version)
Synforest Download Video Works License Agreement (hereinafter referred to as the "Agreement")

Your agreement on all terms and conditions of the Agreement is required prior to your use of Synforest Download Video Works (hereinafter referred to as "SF-Video Works"). When you use SF-Video Works for the first time, the action shall be assumed to be your agreement on all terms and conditions of the Agreement. Please read the Agreement carefully and understand the contents prior to your use of SF-Video Works.

Customer as a licensee (hereinafter referred to as "Customer") and Synforest (hereinafter referred to as "Company") as a licensor do herby agree on use of SF-Video Works as follows:

Article 1 (Definitions)
The following words shall have the following meaning in this Agreement.
(1) Customer shall mean all individuals or legal entities who acquire, possess and/or use SF-Video Works legally.
(2) Intellectual Property means intellectual property of contents such as videos(including, but not limited to, movies, photographs, still images, animations and illustrations), Audios(including, but not limited to, music, sound effects, natural sounds, field recording sounds and narrations), texts and compilations etc. contained in the SF-Video Works. All or part, or original or copy, all contents and data shall be considered as SF-Video Works, and all converted and edited etc., materials are included.
(3) SF-Video Works means all contents released and/or sold by Company. Under the Agreement, SF-Video Works and Intellectual Property are inalienable and the term SF-Video Works includes Intellectual Property.
(4) Purpose of SF-Video Works is to license private use (for personal use or family use or other equivalent uses within a limited scope) under the Japanese copyright law (hereinafter referred to as "Copyright Law") that the Customer complies with the Agreement. Any other conduct or conduct restricted under the Agreement shall not be allowed.

Article 2 (Formation of the Agreement)
When the Customer uses any SF-Video Works, the action shall be assumed to be their agreement of all terms and conditions of the Agreement, and the Agreement is formed, and the Customer shall comply and fulfill the Agreement.

Article 3 (Purpose and Extension)
The Agreement shall license non-exclusive rights for the Customer to use the SF-Video Works in the extension of "Purpose of SF-Video Works".

Article 4 (Attribution)
SF-Video Works hold intellectual property rights, such as copyright and are protected by regulations and international laws. License under the Agreement is a license to use the SF-Video Works (i.e., license for use rights), and SF-Video Works shall remain the Intellectual Property rights of the Company (Agreement shall not grant, transfer, abandon or cease the Intellectual Property rights).

Article 5 (Prohibited Conduct)
Customer shall not use the SF-Video Works for any purpose other than "Purpose of SF-Video Works". In particular, Customer shall comply with prohibited matters below. This shall not apply in such as private use under Copyright Law Subsection 5 Limitations on Copyright.
(1) Use of the SF-Video Works and license under the Agreement shall be for a legitimate person or legal entity under Article 1. Customer shall not resale, distribute, give and/or rent, etc. the SF-Video Works to any third party. In addition, the Customer shall not transfer, remarket and/or auction the SF-Video Works neither.
(2) Any and all of the following acts are prohibited; utilization of the SF-Video Works as image materials and/or audio materials, creation of derivative works using the SF-Video Works, modification or adaptation of the SF-Video Works, and alternation or removal etc. of superimposition texts or subtitles.
(3) Any uploading of the SF-Video Works to Internet websites (including all kinds of video sharing website, posting site, weblog, web page, and bulletin board system etc.) or any peer-to-peer file sharing are prohibited.
(4) Any act and use that may potentially be furtherance and/or aiding of unauthorized copying, unauthorized use and/or creation and distribution of bootleg edition etc. of the SF-Video Works are prohibited.
(5) Customer must not use the SF-Video Works in a way that interferes with sales and/or service of the SF-Video Works.
(6) Customer shall not use the SF-Video Works with purpose to offend public order and morals, in an illegal way, or in a way that potentially commits libel.
(7) "Any Act Other Than Viewing" and "Commercial Use" such as rental, reproduction, public transmission, broadcasting, screenings and exhibitions etc. are also prohibited.
2. Always displayed superimposed watermark shall not be removed or altered, since it is displayed for the purpose of the prevention and deterrence of unauthorized copying, unauthorized use, or creation and distribution of bootleg edition etc., instead of providing technological protection measures of copyright protection such as a particular copy guard (copy protect) and copy control etc.
3. In the event that the SF-Video Works are unwanted by the Customer, the Customer shall erase and/or abolish the SF-Video Works and is the Customer's solo responsibility and expense to avoid future illegal copies, use and/or pirated edition etc.

Article 6 (Indemnification)
1. The SF-Video Works are a finished product on an as-is basis at the time it being sold, and the Company shall not constitute any warranty of completeness, accuracy, reliability, usability, update obligation, or fitness for a particular purpose of the Customer. Therefore, the Company shall not be liable for or shall be exempted from any liabilities with regard to any and all damages etc. caused by the SF-Video Works for the reasons above mentioned. The video and audio may include contents, which are not intended by the creator, depending recording situation or condition of the master tape etc. In addition, the Customer shall preliminarily agree that information such as video and text are those at the time of gathering and/or production, and may be changed as the situation thereafter demands.
2. The Customer shall indemnify the Company, and hold the Company harmless from any loss caused by special, accidental or consequential damages including lost earnings.
3. Whatsoever the cause of the damage, the maximum responsibility of the Company under the Agreement is the sales price of the SF-Video Works.
4. The SF-Video Works are digital data so the Customer may not return, or claim or object to the refund.
5. Problems caused by Customer`s use of the SF-Video Works in any country other than Japan, cannot be covered by the Agreement and the governing law of the Agreement, unpredictable problems, or problems caused by differences in business custom are not included in license and obligation of the Company under the Agreement.

Article 7 (Termination)
1. In case there is any breach of provision under the Agreement by the Customer, the Company may terminate the Agreement immediately without any notice. Thus, the Customer shall indemnify the Company from any damage, claim and dispute etc. incurred to the Customer. For certain breaches, there is a possibility that the Company or intellectual property right holder may impose a fee or penalty, or take legal action.
2. Repurchase of the RF-Videos by a customer whose Agreement with the Company was terminated previously, the Company shall have sole discretion to reject licensing the SF-Video Works under the Agreement to the customer.

Article 8 (Governing Law and Jurisdiction)
1. The Agreement shall be construed in accordance with the laws of Japan and the Tokyo District Court shall have exclusive jurisdiction for the first instance over any lawsuit in connection with the Agreement.
2. To the extent the parties shall comply with the Agreement, any and all of the SF-Video Works may be used in all over the world. Notwithstanding the foregoing, each and all parties of the Agreement shall agree to be bound by the laws of Japan and the Agreement, in any case whatsoever. 3. In the event any ambiguities between different language versions of the Agreement in connection with interpretation of the governing law or the Agreement arise, interpretation of the Japanese version shall prevail in all respects.

Article 9 (Modification)
1. The Company may modify the Agreement with sole discretion whenever need arises. The Customer agrees that the modification becomes valid at the time of the release on the Company's official web site.
2. In the event any ambiguities or discrepancies arise between the pre-revision and the post-revision due to any revisions to the Agreement, the post-revision version of the Agreement shall prevail.

Article 10 (Others)
The Customer shall notify or inquire with the Company if any issue not covered by the Agreement, or interpretation of the Agreement arises before use of the RF-Videos. In this case, the Customer and the Company shall resolve the issue in good faith through discussion.
